1. Who we are
MX Stage is made and sold by Kazuhiro Muto, a sole proprietor based in Japan ("we", "us"). Contact: mxstage@tsunagi.app. Our orders are processed by Paddle.com, which acts as the Merchant of Record: Paddle sells the license to you, collects payment and handles invoices, sales tax and VAT. Paddle's Buyer Terms also apply to your purchase.
2. The software and the license you buy
MX Stage is published under the Business Source License 1.1 (the LICENSE). Under it, you may use MX Stage free of charge for everything except creating, changing or deleting data in a Production Maximo Environment.
A Production License adds the right for your organization — its employees and contractors working on its behalf — to use MX Stage to create, change or delete data in one Production Maximo Environment, identified by the URLs written in your license key (up to three URLs for the same environment), for as long as your subscription is active. There is no limit on the number of users or computers.
A Production Maximo Environment is an instance of IBM Maximo or IBM Maximo Application Suite that an organization uses to record its day-to-day operations, or that is being prepared to replace such an instance (for example, the target of a migration or upgrade before go-live). Any other instance — development, test, training, demonstration or migration rehearsal — is not a Production Maximo Environment, even if it holds a copy of production data.
3. Subscription, renewal and cancellation
The Production License is a yearly subscription that renews automatically at the then-current price, which we will tell you before the renewal if it changes. You can cancel at any time through the link in your Paddle receipt or by emailing us; cancellation takes effect at the end of the current year. Each license key is valid until the end of the paid period plus 30 days, so your work is not interrupted while a renewal is processed.
4. Refunds
You can get a full refund within 14 days of any payment. See the refund policy.
5. Changing the production URLs
If your production Maximo moves to a new URL, email us and we will issue a new key for the new URL. We may limit how often we do this for the same license.
6. Your responsibilities
MX Stage writes to Maximo only when a person in your organization approves it in the work screen. You are responsible for the changes you approve, for testing them in a test environment first, and for keeping backups of your Maximo data. Do not share your license key outside your organization.
7. Your data
MX Stage runs on your computers. We do not receive your Maximo data, your Maximo API keys or your prompts, and the license key is checked on your computer without contacting us. See the privacy policy for the purchase information we do receive.
8. Support
We provide support by email on a reasonable-effort basis. There is no guaranteed response time unless agreed in writing.
9. No warranty
To the extent permitted by law, MX Stage is provided "as is", without warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that MX Stage is error-free or that it will work with every Maximo configuration.
10. Limitation of liability
To the extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for loss of data, profits or business. Our total liability for any claim relating to MX Stage is limited to the amount you paid for the license in the 12 months before the claim.
11. Changes to these terms
We may update these terms. Changes apply from your next renewal; we will tell you by email before a renewal if they change materially.
12. Governing law
These terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction over disputes in the first instance.
